2.1 The Service

NeolinQ provides WhatsApp-based business automation tools — including appointment scheduling, client management, automated reminders, billing integration, and reporting dashboards — designed for small and medium businesses across supported verticals (currently: dental/physio clinics, coaching institutes, salons & spas, gyms, driving schools, and veterinary clinics).

2.2 Eligibility and Account Registration

• You must be at least 18 years old and legally authorized to operate the business you register.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• You must provide accurate, current information during signup and keep it updated.

2.3 Your Responsibility for Your Customers' Consent

This is important. NeolinQ sends WhatsApp messages to the contacts you add to the platform — your clients, patients, students, or customers. You are solely responsible for ensuring you have the necessary consent or legitimate business relationship to message each contact via WhatsApp, in accordance with WhatsApp's Business Messaging Policy and applicable law. NeolinQ is not responsible for any consequences arising from messages sent to contacts who have not consented to receive them, including but not limited to WhatsApp account restrictions, complaints, or legal claims.

2.4 Subscription Plans and Billing

• NeolinQ is offered on a subscription basis, billed monthly, across plans described on our pricing page (currently Starter and Growth).
• Each plan includes a defined monthly message allowance; messages sent beyond this allowance are billed at the per-message overage rate stated on the pricing page at the time of billing.
• Subscriptions automatically renew each billing cycle until cancelled.
• Payments are processed via Razorpay. By subscribing, you authorize recurring charges to your selected payment method.
• Prices are subject to change with 30 days' advance notice for existing subscribers.

2.5 Free Trials

If a free trial is offered on a given plan, its duration and terms will be stated at the time of signup. We reserve the right to modify or discontinue free trial offers at any time. Unless cancelled before the trial ends, your subscription will convert to a paid plan automatically.

2.6 Cancellation

You may cancel your subscription at any time from your dashboard or by messaging "UNSUBSCRIBE" to our WhatsApp bot. Cancellation stops future billing; you retain access to the Service until the end of your current paid billing period. See our Refund Policy for details on refunds.

2.7 Acceptable Use

You agree not to use NeolinQ to:

• Send spam, unsolicited bulk messages, or messages to contacts without appropriate consent
• Transmit unlawful, harassing, defamatory, or fraudulent content
• Violate WhatsApp's Business Messaging Policy or Meta's platform terms
• Attempt to reverse-engineer, resell, or sublicense the Service without our written permission
• Use the Service in a way that disrupts or overburdens our infrastructure

We reserve the right to suspend or terminate accounts that violate this policy, with or without notice, particularly where violations risk our WhatsApp Business Platform access.

2.8 Third-Party Services

NeolinQ relies on third-party platforms — including Meta's WhatsApp Business Platform, Razorpay, and AWS — to operate. We are not responsible for outages, policy changes, or service interruptions caused by these third parties, though we will make reasonable efforts to notify you of any impact to your Service.

2.9 Intellectual Property

All rights, title, and interest in the NeolinQ platform, including software, design, trademarks, and content (excluding your own business data), belong to LSTM Technologies Private Limited. You are granted a limited, non-exclusive, non-transferable license to use the Service for your business operations only.

2.10 Disclaimer of Warranties

The Service is provided "as is" and "as available." We do not guarantee uninterrupted or error-free operation, particularly where dependent on third-party platforms like WhatsApp. We disclaim all warranties not expressly stated in these Terms, to the extent permitted by law.

2.11 Limitation of Liability

To the maximum extent permitted by law, LSTM Technologies Private Limited's total liability arising from your use of the Service shall not exceed the amount you paid us in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including loss of business, revenue, or data.

2.12 Indemnification

You agree to indemnify and hold harmless LSTM Technologies Private Limited from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights (including your customers' consent rights described in Section 2.3).

2.13 Termination

We may suspend or terminate your access to the Service for breach of these Terms, non-payment, or as required by law. You may terminate your account at any time per Section 2.6.

2.14 Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, India.

2.15 Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice. Continued use after changes take effect constitutes acceptance.
